Welcome to Industrial Sustainable Solutions (INSUS). By accessing or using our website and any page thereof ("Site"), you agree to comply with and be bound by the following terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Site.
1. Introduction
These Terms govern your use of INSUS's website. "You" means a user of INSUS Sites. "We" or "INSUS" means INSUS AG (CHE-294.271.145), a stock company incorporated under the laws of Switzerland with its registered seat in Zug, Switzerland.
For the purpose of these Terms, "Content" means any text, written work, software, database, format, graphic, image, photo, video clip, podcast, listing or any other information or material which appears on or forms part of this Site.
INSUS is committed to providing cutting-edge digital/AI solutions for industrial companies.
2. Eligibility – Local Access Restrictions
You must be at least 18 years old and have the legal capacity to agree to these Terms our Site. By using our Site, you warrant that you meet these eligibility requirements.
INSUS Sites and all Content and functionality contained within them are not directed to or intended for use by any person or resident located in any country where the distribution of such Content or functionality is contrary to the laws, rules or regulations of such country. The same applies to any person or resident located in any country where such distribution is prohibited without obtaining the necessary licenses or authorisations and such licenses or authorisations have not been obtained. If any such local access restriction applies to you, you are not authorised to access the relevant INSUS Site or use any of the Content on it.
3. Use of the Site
3.1 Permitted Use
You agree to use our Site only for lawful purposes and in accordance with these Terms.
3.2 Prohibited Use
You agree that you will not, and will not allow or authorize any third party to:
- Use the Site in a way that violates applicable laws or regulations (in particular not to do anything that is or may be (a) threatening, harassing, degrading, abusive or hateful; (b) an incitement to violence, terrorism or other wrongdoing; (c) defamatory or libelous; (d) invasive of privacy rights; (e) fraudulent, deceptive, impersonating of any person or entity, or misrepresentative of your affiliation with any person or entity; (f) obscene, pornographic, indecent, grotesque or otherwise objectionable; or (g) protected by copyright, trademark, confidentiality obligations, or other proprietary or privacy right without the express prior written consent of the owner of such right).
- Engage in unauthorized access, interference, or disruption of our systems (in particular not to use any virus, worm, Trojan horse or other computer code, file, data or program that is harmful, disruptive, corrupted, or invasive, or may be or is intended to damage or hijack the operation of any hardware or software).
- Reproduce, duplicate, or exploit the content of the Site for commercial purposes without written permission.
- Offer unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letter, pyramid scheme, political campaign message, offering of an investment opportunity, or any other form of solicitation.
- Harvest or collect information about any third parties, including their email addresses or other personally identifiable information.
- Use the Sites in any manner, whether deliberate or otherwise, including without limitation a denial of service attack, that could in any way (a) interfere with, damage, disable, overburden or impair the functioning of the Sites, or INSUS systems or networks, or any systems or networks connected to the Sites, or (b) violate any requirements, procedures, policies or regulations of such systems or networks.
- Operate non-permissioned network services, including open proxies, mail relays or recursive domain name servers, or use any means to bypass user limitations relating to the Sites.
- Use any robot, spider, crawler, scraper, deep-link, page-scrape, site search/retrieval application or other manual or automated device, program, algorithm or methodology or interface not provided by us to access, acquire, copy, retrieve, index, scrape, data mine, in any way reproduce or circumvent the navigational structure or presentation of the Sites or monitor any portion of the Sites or to extract data, or to sell, resell, frame, mirror or otherwise exploit for any commercial purpose, any portion of, use of, or access to the Sites (including any Content, Software and other materials available through the Sites), or attempt to circumvent any content filtering techniques we may employ.
- Create a database of any type by systematically downloading and storing any Content unless expressly permitted by INSUS to do so.
- Probe, scan, monitor or test the vulnerability of the Sites or any network connected to the Sites, or breach the security or authentication measures on the Sites or any network connected to the Sites.
- Modify, adapt, create derivative works of, translate, reverse engineer, decompile or disassemble any portion of the Sites (including any Content or other materials available through the Sites), or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any area, Content or code within the Sites except as, and solely to the extent, expressly authorized under applicable law overriding any of these restrictions.
- Develop any third-party applications that interact with the Sites or Content without our prior written consent.
- Use or apply the Sites in any manner directly or indirectly competitive with any business of INSUS.
Notwithstanding any provision to the contrary in these Terms, you agree that INSUS may, in its sole discretion and with or without prior notice, for any or no reason, suspend or terminate your access to any or all of the Sites and/or block your future access to any or all of the Sites, including without limitation for any of the following reasons: (a) if we determine that you have violated any provision or the spirit of these Terms, (b) in response to a request by a law enforcement or other government agency, (c) due to discontinuance or material modification of any of the Sites, or (d) due to unexpected technical issues or problems. INSUS shall not be liable to you or any third party for any termination of your access to any part of the Sites. The rights and obligations of these Terms which by their nature should survive, shall so survive any termination of your use of the Sites.
3.3 Contacting Users
If you subscribe to mailing services, provide comments or otherwise communicate with INSUS through our Site or E-Mails provided on our Site, you may be requested to provide your contact details, in particular your e-mail address. By providing your contact details you expressly agree that INSUS retains your contact information and may contact you, in particular for the following reasons: requesting clarifications or additional comments; sending INSUS publications; sending information about INSUS events; asking for your participation in surveys or polls; sending information about services and solutions or other marketing information of INSUS. However, INSUS will not send out mass unsolicited E-Mails or mails.
You may when first contacting INSUS or at any time thereafter inform us that you would rather not receive any information or certain information (e.g. promotion material) from INSUS. You may inform us through the general contact functionality provided on our Site.
4. No Offer – Third Party Statements and Quotes
Content contained on our Sites is just for information purposes. The information is subject to, and must be read in conjunction with, all other publicly available information published by INSUS. No Content available on a INSUS Site constitutes a solicitation, an offer, or a recommendation to buy any services or solutions, to effect any transactions or to conclude any legal act of any kind whatsoever. You or your company may not rely on Content on a INSUS Site for making any decision relating to services or solutions of INSUS.
INSUS may include statements and quotes of third parties relating to INSUS and its business operations. Such statements and quotes are generally labelled as information provided by third parties. INSUS does not and is under no obligation to verify the content of third party statements or quotes on our Sites. The liability of INSUS for the accuracy or completeness of such third party statements and quotes shall be excluded to the extent permitted by applicable law, rules and regulations.
5. Intellectual Property
Intellectual Property Rights on the Site and the Content available through them belong to INSUS Re or other third parties. You do not acquire, by virtue of your use of this Site, any rights, title or interest in any of the Intellectual Property Rights in the Content or the Site. For the purpose of these Terms, "Intellectual Property Rights" means (i) copyright, patents, database rights and rights in trademarks, designs, know-how and registered or non-registered confidential information; (ii) applications for registration and the right to apply for registration for any of these rights; and (iii) all other intellectual property rights and equivalent or similar forms of protection existing anywhere in the world.
Individual pages and/or sections of a Site and its Content may be printed or saved for personal or internal use only. Such print-outs or savings, however, must retain all applicable copyright or other proprietary notices. You must not modify, copy, transmit, distribute, display, reproduce, publish, perform, license, frame, create derivative works from, transfer or use in any other way for commercial or public purposes in whole or in part any Content obtained from a Site without the prior written permission of the owner of the relevant Intellectual Property Rights (whether that be INSUS or another third party).
The copyright in some Content available on INSUS Sites belongs to third parties ("Third Party Content"). You must check copyright notices on or in respect of individual Third Party Content.
6. Third-Party Links
From certain INSUS Sites you are able to obtain access to websites operated by third parties ("External Websites") by means of links or RSS functionality. External Websites are not monitored or managed by INSUS and we do not endorse or accept any responsibility for their content or operation. You access External Websites at your own risk. INSUS does not accept any responsibility for any damage or loss you may suffer arising out of access to External Websites, including, but not limited to, damage or loss arising from your use of documents or other information found on External Websites.
7. Disclaimer of Warranties
Content contained on INSUS Sites is provided "as is" and "as available". INSUS and third party Content providers give no guarantee, representation, warranty or condition, express or implied, statutory or otherwise, as to condition, satisfactory quality, performance, fitness for purpose, non-infringement, merchantability or otherwise in respect of INSUS Sites or their Content.
Without limiting the foregoing, INSUS and third-party Content providers do not guarantee, represent or warrant the accuracy, timeliness, completeness, reliability or availability of INSUS Sites or the information or results obtained from them (whether based on manual access, subscriptions, RSS-feeds or otherwise), or that INSUS Sites or downloads (e.g. PDF, pictures, podcasts, videos) from INSUS Sites are virus- or error-free. All such guarantees, representations, warranties and conditions are excluded, except to the extent that their exclusion is not permitted by applicable laws, rules and regulations. Both INSUS and third parties (without limiting the foregoing) disclaim all guarantees, representations, warranties and conditions with respect to the operation of related software for INSUS Sites, express or implied, including, but not limited to, the implied guarantees, representations, warranties or conditions of merchantability, fitness for particular purpose and the non-infringement. INSUS and third parties disclaim all guarantees, representations, warranties or conditions that related software are not interrupted or error free. INSUS and third parties disclaim all guarantees, representations, warranties or conditions as to the results that may be obtained from the use of INSUS Sites.
8. Limitation of Liability – Force Majeur
Neither INSUS or any third party providing Content, nor any of their respective affiliates, directors, employees, advisors or agents will be liable for any indirect, special, incidental, consequential, punitive or exemplary loss, liability or costs, whether arising from negligence, breach of contract or otherwise and regardless whether the damage was foreseeable or not.
Neither INSUS or any third party providing Content, nor any of their respective affiliates, directors, employees, advisors or agents will be liable for any loss of profits, business or data.
Neither INSUS or any third party providing Content, nor any of their respective affiliates, directors, employees, advisors or agents will be liable for any damage or loss (especially loss of data, alteration of data, or downtime) that may be caused to any equipment or software due to any viruses, defects or malfunctions in connection with the access or use of any INSUS Site or downloads from any INSUS Site (whether based on manual access, subscriptions, RSS-feeds or otherwise).
You agree that we will not be liable for delays, failures, or inadequate performance of the Sites resulting from conditions outside of our reasonable control, including but not limited to natural disasters or other acts of God, failure of telecommunications networks or any other network or utility, threatened or actual acts of terrorism or war, riots, labor strikes, or governmental acts or orders.
9. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless INSUS, its officers, directors, shareholders, successors in interest, employees, agents, subsidiaries and affiliates, from and against any and all actual or threatened third party claims (groundless or otherwise), demands, losses, damages, costs and liability, proceedings (at law or in equity) and expenses (including reasonable attorneys' and expert fees and costs of investigation) arising out of or in connection with (a) your use of the Sites, (b) your breach of these Terms or (c) your violation of any law or regulation or of any third party rights, including infringement, libel, misappropriation, or other violation of any third party's intellectual property or other legal rights.
INSUS reserves the right, however, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with INSUS' defense of such claim, and in no event may you agree to any settlement affecting INSUS without our prior written consent.
10. Privacy Policy
Our Privacy Policy is available on our Site. You understand that your use of our Site will result in INSUS processing of personal data that you provide. The Privacy Policy sets out the basis on which we will use personal data. By using our Site, you are deemed to agree with the terms of the Privacy Policy. In performing your obligations under these Terms, you commit to comply with applicable data protection laws.
11. Governing Law – Place of Jurisdiction
These Terms are governed by and interpreted in accordance with the laws of Switzerland. Any disputes arising from these Terms shall be resolved exclusively in the competent courts of Zug, Switzerland.
12. Changes to Terms – Invalidity
INSUS reserves the right to modify these Terms at any time and INSUS is under no obligation to inform you about such variations or amendments. Changes will be effective immediately upon posting on this Site.
Please visit these Terms on a regular basis to ensure that you have read the latest version. These Terms were updated the last time on the date indicated at the beginning of the Terms.
If a provision of these Terms is or becomes illegal, invalid or unenforceable in any country, that will not affect the legality, validity or enforceability in that country of any other provision or in other jurisdictions of that or any other provisions of these Terms.
